Terms of Service

1. Agreement

By accessing or using AddMyLegacy (“Service”, “Platform”, “we”, “us”, “our”), operated at https://addmylegacy.com (and related brand properties including addmymark.com), you (“you”, “User”) agree to be bound by these Terms of Service and all documents incorporated by reference, including our Privacy Policy and Content Protection Policy. If you do not agree, do not access or use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization.

2. The Service

AddMyLegacy provides digital preservation tooling, proof-of-upload certificates, rights verification workflows, asset hosting and previews, exhibition surfaces, and licensing tools for creators, galleries, and buyers. The Service is not a law firm, patent office, escrow agent, custodian, insurer, or copyright registration agency, and nothing on the Service constitutes legal, financial, or professional advice.

3. Eligibility & accounts

• You must be at least 18 years old (or the age of majority in your jurisdiction).
• You are solely responsible for safeguarding your credentials and for all activity under your account.
• We may, at our sole discretion and without liability, suspend, restrict, or terminate accounts, remove content, or refuse service to anyone, at any time, with or without notice, including for any actual or suspected violation of these Terms or our Content Protection Policy.

4. Your content & your sole responsibility

You retain ownership of the content you upload (“User Content”). You are solely and fully responsible for your User Content — including its creation, accuracy, legality, originality, sharing, distribution, and all intellectual-property, copyright, trademark, moral, privacy, publicity, contractual, and third-party rights associated with it. You represent and warrant that:

• you own or have secured all rights, licenses, consents, and permissions necessary to upload, preserve, display, license, and otherwise make available each item of User Content, and to grant the licenses in Section 5;
• your rights declarations and metadata are true, accurate, and complete;
• your User Content, and our use of it as permitted here, does not and will not infringe, misappropriate, or violate any third-party right or any law.

The Platform assumes no responsibility or liability whatsoever for any User Content, for the consequences of its sharing or distribution, or for any copyright, licensing, or ownership dispute arising from it. To the maximum extent permitted by law, all such responsibility and liability rests exclusively with the User who submitted the content.

5. License you grant to the Platform (including AI/LLM & dataset use)

To operate, secure, improve, and develop the Service and our technology, you grant AddMyLegacy a worldwide, non-exclusive, royalty-free, fully paid-up, transferable, sublicensable, and (except as limited below) perpetual and irrevocable license to host, store, reproduce, cache, modify, adapt, create derivative works from, translate, reformat, technically process, analyze, index, fingerprint, publicly display and perform (in preview quality), and otherwise use your User Content and associated metadata for any purpose related to providing, operating, securing, promoting, improving, and developing the Service and our products, technologies, and models.

Without limiting the foregoing, this license expressly includes the right to use, process, and incorporate User Content and metadata:

• as input to, and as part of the output or responses of, machine-learning systems, large language models (LLMs), generative models, and other artificial-intelligence systems;
• for training, fine-tuning, evaluating, benchmarking, and improving such models and systems;
• for the creation, curation, formation, and distribution of datasets (including aggregated, combined, transformed, or derived datasets) used to develop or operate such models and systems; and
• to generate analytics, embeddings, fingerprints, indexes, and derived works that may be retained and used even after individual User Content is removed.

Our single guarantee regarding sale: we will not sell, license, or distribute your individual work as a standalone object while presenting the Platform, or any third party, as the author or creator of that work. Outside of that limitation, you agree that we may use, exploit, and commercialize User Content and any derivatives in any manner described above, including as AI/LLM input, training data, and dataset material, without further notice, attribution, consent, or compensation to you.

This license survives termination of your account to the extent necessary for: (a) certificate and audit integrity; (b) models, datasets, embeddings, and derivatives already created; and (c) legal, backup, and compliance retention.

6. Platform exhibition consent

When you create an asset, you may allow or deny use of that work in the AddMyLegacy Platform Exhibition (public browse pages, home-page featured samples, and similar in-product discovery). This setting defaults to allowed for eligible asset types unless you turn it off at creation or later in your asset settings.

• If allowed: you grant AddMyLegacy a non-exclusive, worldwide, royalty-free license to publicly display preview-quality representations of the asset (e.g. images, watermarked or downscaled media, interactive 3D viewer embeds), together with title, artist name, and metadata you provided, to operate the exhibition, promote the Service, and direct viewers to license or request access. This does not grant buyers or the Platform rights to download originals or use the work commercially unless a separate license is purchased or you approve access.
• If denied: we will not include that asset in the Platform Exhibition, home-page random samples, or promotional exhibition placements. Private viewer links, proof certificates, and licensing flows you initiate separately are unaffected.
• You may change this preference at any time on the asset detail page; we will remove denied works from exhibition surfaces within a reasonable period.
• The exhibition setting governs only public discovery display. It does not limit the operational, security, analytics, and AI/LLM/dataset rights granted in Section 5.

7. No storage guarantee — certificates only

The Service is not a backup, archival, or custodial file-storage service, and we do not guarantee the storage, retention, availability, durability, or recoverability of any uploaded file or User Content. Files may be compressed, transformed, relocated, throttled, or deleted at any time, with or without notice. You are solely responsible for maintaining your own independent backups of all original files.

Our preservation responsibility is limited to issuing and maintaining the integrity of proof certificates and their associated records and signatures. We are not responsible for any loss, corruption, deletion, or inaccessibility of underlying files or User Content, and you waive any claim arising from such loss to the maximum extent permitted by law.

8. Proof certificates

Certificates document platform-verified upload integrity and audit steps. They do not constitute U.S. patent grants, USPTO filings, U.S. Copyright Office registration, or any government determination of ownership. Official registration remains your responsibility.

9. Prohibited & forbidden content

You may not upload, store, share, or transmit any content that is unlawful or forbidden, and the Platform does not knowingly host such content. Forbidden content includes, without limitation: content that infringes or misappropriates any third-party intellectual-property or other right; child sexual abuse material (CSAM) or any content sexualizing minors; non-consensual intimate imagery; content that is defamatory, harassing, threatening, or that incites violence; malware or malicious code; content promoting terrorism or illegal goods/services; content that violates export-control, sanctions, privacy, or data-protection laws; and any content prohibited by applicable law or our Content Protection Policy.

We may (but are not obligated to) screen, fingerprint, scan, filter, refuse, remove, disable, or report any content at any time, and may use Content ID-style fingerprinting, duplicate detection, and strike policies. We may remove or block forbidden content without notice and cooperate with law enforcement. You are solely responsible for any forbidden content you submit.

10. Pricing, fees & limits

All pricing, fee schedules, plan tiers, commissions, usage allowances, quotas, feature availability, and other limits (collectively, “Commercial Terms”) are set at our sole discretion. We may add, change, increase, decrease, or remove any Commercial Term — including prices and limits — at any time, for any reason, without prior notice to you and without your separate agreement or consent.

• Changes take effect when posted or otherwise made available, and apply prospectively to new purchases, renewals, and continued use.
• Your continued use of the Service after a change constitutes acceptance of the change.
• All pricing, fee structures, internal rates, discounts, and Commercial Terms are our confidential business information; you may not scrape, resell, or publicly disclose them without our written permission.
• Except where required by mandatory law, all fees are non-refundable and we are not liable for changes in price or features.

11. Licensing & payments

License terms between buyers and sellers are defined by selected templates and offer scope, and are agreements solely between those users. AddMyLegacy is not a party to those agreements and is not responsible for the conduct, performance, or content of any user. We may facilitate payment processing via third parties (e.g. Stripe). Fees, refunds, chargebacks, and taxes are governed by the applicable checkout terms and payment-provider policies.

12. Third-party services & data sharing

The Service relies on third-party providers and integrations to operate. By using the Service, you authorize us to share account, content, transaction, and technical data with such providers as needed to operate, secure, and improve the Service — including, for example, payment processors (e.g. Stripe), mail/print and fulfillment providers (e.g. Lob), cloud hosting and storage, email and communications providers, analytics and security vendors, and any other integration reasonably necessary for Platform operation. Your use of those services may also be subject to their own terms. See our Privacy Policy for details.

13. Copyright complaints (DMCA)

We respond to notices of claimed infringement consistent with applicable law. Submit reports via asset report forms or contact our designated agent listed on our DMCA page. Repeat infringers may have accounts terminated.

14. Disclaimers

THE SERVICE AND ALL CONTENT, CERTIFICATES, AND FEATURES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY FILE OR USER CONTENT WILL BE STORED, PRESERVED, OR RECOVERABLE. YOU USE THE SERVICE AT YOUR OWN RISK.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AddMyLegacy, ITS OWNERS, OPERATORS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES (THE “PROTECTED PARTIES”) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, CONTENT, FILES, GOODWILL, OR BUSINESS, WHETHER OR NOT FORESEEABLE AND UNDER ANY THEORY OF LIABILITY. THE PROTECTED PARTIES SHALL HAVE NO LIABILITY FOR USER CONTENT, FOR ITS SHARING OR DISTRIBUTION, FOR ANY COPYRIGHT OR OWNERSHIP DISPUTE, OR FOR THE LOSS OR NON-STORAGE OF ANY FILE OR USER CONTENT. IN ALL CASES, THE PROTECTED PARTIES’ TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

16. Indemnification

You agree to defend, indemnify, and hold harmless the Protected Parties from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your User Content; (b) your sharing, distribution, or licensing of content; (c) your breach of these Terms or any representation or warranty; (d) your violation of any law or any third-party right, including intellectual-property, privacy, or publicity rights; or (e) your use or misuse of the Service.

17. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles, unless mandatory local law requires otherwise. You agree to resolve disputes individually and waive participation in any class action, to the extent permitted by law.

18. Changes to these Terms

We may modify these Terms at any time. Material changes will be posted here with an updated date. Your continued use of the Service after changes take effect constitutes acceptance.
